Terms of Service
Last updated: [DATE]
These terms are between [BUSINESS LEGAL NAME] (NZBN [NUMBER]) ("we") and the business that creates a ToolTrack company account ("you" or "the customer"). By creating an account or using ToolTrack, you agree to them.
1. The service
ToolTrack lets you register tools, materials, gear, kits and vehicles, label them with barcodes, and record who takes them out and returns them. We'll make reasonable efforts to keep it available and working, but we don't promise it will be uninterrupted or error-free.
2. Accounts and your team
- You're responsible for who you invite and what admins in your company do.
- Keep passwords private. Tell us straight away if you think an account has been misused.
- You must have the right to give us your staff's information and must tell your staff that you use ToolTrack (our Privacy Policy can help).
3. Free trial, price and payment
- New companies get a [14]-day free trial. No card is needed to start.
- After the trial, ToolTrack costs [PRICE, e.g. NZ$49 + GST per company per month], billed in advance through Stripe.
- Subscriptions renew automatically until cancelled. You can cancel at any time in Admin → Billing; access continues until the end of the paid period. We don't refund part periods unless the law requires it.
- We'll give at least [30] days' notice of price changes.
- If payment fails, we may limit the account after [14] days.
4. Your data
You own the information you put into ToolTrack. We only use it to provide the service, as described in our Privacy Policy. If you close your account, you can ask us for an export of your items and history within [30] days, after which we'll delete it.
5. Acceptable use
Don't use ToolTrack for anything unlawful, to store information you don't have the right to hold, or in a way that harms the service or other customers. Don't try to access other companies' data.
6. Suspension and ending the agreement
We may suspend or close an account that breaks these terms or hasn't paid, after giving notice where reasonable. You can stop using ToolTrack at any time.
7. Business use and liability
- ToolTrack is supplied and acquired in trade. To the extent permitted by law, the Consumer Guarantees Act 1993 and sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply, and you agree it is fair and reasonable for this to be the case.
- ToolTrack is a record-keeping tool. It doesn't guarantee the security, location or condition of your equipment.
- To the extent permitted by law, we aren't liable for indirect or consequential loss (such as lost profits or lost equipment), and our total liability is limited to the fees you paid in the [12] months before the claim.
8. Changes to these terms
We may update these terms and will notify customers of significant changes at least [30] days before they apply.
9. Law
These terms are governed by New Zealand law, and New Zealand courts have jurisdiction.
